The subject matter of this article relates to the registers in which the different registered titles - shares, bonds, etc. – which may be issued by a commercial company are recorded.
Further to a general review of the legal sources and the common principles applicable, the focus is put on two specific topics. The first question relates as to whom among the holders, the management and/or third parties, are entitled to access the registers, and if so, to which extent. The second topic deals with the relation between the recording into the registers and title ownership.
